Express Dentures
Effective Date: 31 May 2026
1. Scope of Agreement & Service Definition
1.1 These Terms and Conditions (“Agreement”) govern the provision of mobile digital dental scanning, archiving, and 3D-prosthetic manufacturing services (“Services”) provided by Express Dentures (“the Company”) to the client, facility, or authorized representative (“the Client”).
1.2 By booking an appointment, registering for a Protection Program, or authorizing a digital scan, the Client agrees to be bound unconditionally by this Agreement.
2. Subscription, Cancellation, & 11-Year Statutory Data Retention
2.1 No Long-Term Commitment: The Client explicitly acknowledges that there are no long-term contractual lock-ins or mandatory minimum terms associated with the Express Dentures Protection Program. The business relationship is flexible, and the care home facility is under no obligation to remain tied to a fixed-term contract.
2.2 Freedom to Cancel: The Client retains the absolute right to cancel their subscription package at any time, without penalty or termination fees.
2.3 Statutory Data Retention Notice (GDC & GDPR Compliance): As 3D intraoral scans and clinical topographic maps constitute regulated dental medical records, the Company is legally obligated under General Dental Council (GDC) standards and the UK Data Protection Act 2018 to preserve this data securely for a minimum of eleven (11) years from the date of the last clinical entry, irrespective of subscription cancellation.
2.4 Post-Cancellation File Retrieval Fee & Warranty Forfeiture: Following the cancellation of a subscription package, the right of access to clinical records will be provided in strict accordance with UK GDPR and Data Protection Act 2018 guidelines, and no fee will be charged for a standard statutory copy of personal data. However, the Client explicitly acknowledges that data stored for regulatory compliance is archived in an unedited, proprietary system format. Any request to extract, convert, or export these complex 3D datasets into open commercial manufacturing formats (such as raw. STL design files) falls outside of a standard statutory right of access and will be subject to a flat £150 Laboratory Technical Conversion Fee per record to cover technical engineering time. Furthermore, all existing structural guarantees and warranties are immediately terminated and forfeited upon account cancellation, as outlined in Clause 3.3
3. Limited 6-Month Structural Guarantee & Replacement Policy
3.1 The 6-Month Warranty: The Company provides a strict, limited six (6) month structural guarantee on custom 3D-printed dentures manufactured and fitted by our clinical team, provided the Client maintains an active, non-cancelled account status.
3.2 Free Replacement Conditions: If a denture manufactured by the Company experiences a structural fracture or break within exactly six (6) months from the date of the clinical fitting, the Company will reprint and replace the device free of charge, subject to the following criteria:
The denture must have been handled, cleaned, and maintained strictly in accordance with the Company’s official care guidelines.
The breakage must be due to a manufacturing or material defect, not user force, dropped damage, or accidental impact.
3.3 Exclusion After 6 Months & Post-Cancellation Voiding: Under no circumstances will the Company be liable to replace, repair, or reprint any denture free of charge if the structural break occurs after the 6-month warranty period has expired. Additionally, if the Client cancels their subscription package at any point, any remaining portion of the 6-month structural warranty is instantly rendered null and void, and standard replacement rates will apply.
4. Premium Replacement Inclusions & Monolithic Backup
4.1 Monolithic Backup Provision: In the event of an approved warranty reprint or a paid subscription replacement, the Company will manufacture and provide one (1) additional White Monolithic Denture free of charge alongside the primary replacement prosthetic. This secondary device is designed strictly as a temporary clinical backup.
4.2 Patient Identification Marking: For regulatory, safety, and inventory control purposes within care home environments, both the primary replacement denture and the free white monolithic backup denture will feature the individual resident's name permanently embedded directly into the prosthetic material during the 3D-printing process.
5. Strict Exclusion of Liability for Mistreated Dentures
5.1 Definition of Mistreatment: Mistreatment includes, but is not limited to:
Cleaning dentures with abrasive chemicals, boiling water, bleaches, or non-designated dental products.
Physical adjustments, filing, or bending attempted by care home staff, residents, or third-party laboratories.
Signs of accidental impact (e.g., being stepped on, dropped on hard surfaces, or crushed).
Prosthetic damage caused by structural changes in the resident's natural oral anatomy or jaw degradation over time.
5.2 Complete Liability Exclusion: The Company explicitly denies all liability for the failure, discomfort, misalignment, damage, or breakage of any prosthetic that shows signs of mistreatment, neglect, or improper care.
5.3 Indemnity: The Client agrees to indemnify and hold harmless the Company, its directors, and its clinical staff against any claims, losses, or expenses arising from physical harm or discomfort caused to a resident as a result of wearing a mistreated or altered denture.
6. Intellectual Property & Commercial Right to Use Digital Scans
6.1 Ownership of Data: All digital data, 3D intraoral scans, three-dimensional topographic tooth/tissue maps, and digital design files generated by the Company during any appointment or scan session remain the exclusive intellectual property of the Company.
6.2 Commercial Exploitation Rights: The Client explicitly acknowledges and grants the Company an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable right to utilize these digital scans, metadata, and generated 3D files for any commercial, industrial, or educational purpose. This includes, but is not limited to:
The fabrication of dental prosthetics.
Internal research and development, machine learning, and algorithmic dental software training.
Anonymized clinical case studies, marketing materials, and commercial product development.
6.3 Data Protection & Anonymisation: Any commercial or analytical utilization of the digital scans will be fully anonymized and de-identified in strict compliance with the UK Data Protection Act 2018 and UK GDPR. No personally identifiable data (PII) of the resident or the Client facility will ever be disclosed or utilized commercially without separate, explicit, written consent.
7. Limitation of Liability & Personal Injury Disclaimer
7.1 Clinical Limits: While all custom prosthetics are manufactured to the highest digital dental laboratory standards and fitted by qualified professionals, the Client acknowledges that the adaptation to new dentures is highly subjective and depends on individual patient physiology, neurological status, and tissue tolerance.
7.2 Exclusion of Personal Injury Claims: The Company shall not be liable for any personal injury, discomfort, mucosal ulceration, soft tissue abrasion, nutritional deficiency, or psychological distress arising from a resident’s adaptation to, or refusal to wear, the supplied prosthetic, unless caused by gross clinical negligence or wilful misconduct by the Company’s attending staff.
7.3 Financial Cap on Liability: To the maximum extent permitted by applicable law, the Company's total cumulative liability for any breach of contract, negligence, personal injury claim, or statutory duty arising out of this Agreement shall be strictly capped at the total amount paid by the Client to the Company for the specific prosthetic device or service package in question.
8. Anatomy & Medical Status Changes Disclaimer
8.1 Oral Tissue Alteration: The digital scanning technology records a precise snapshot of the resident's oral anatomy at a specific point in time. The Client acknowledges that vulnerable or elderly patients can experience rapid physiological shifts due to medical treatments, sudden weight loss, medication adjustments, bone resorption, or underlying pathology.
8.2 Fit Invalidity: If a resident undergoes significant medical changes, surgical interventions, or rapid jaw shrinkage between the date of the initial digital scan and the date of final delivery, the Company is not liable if the device fails to fit perfectly. In such instances, a new scan may be required at the Client’s expense, and standard replacement pricing will apply.
9. Staff Intervention & Third-Party Material Tampering
9.1 Unauthorized Corrections: Only registered dental professionals authorized by the Company are permitted to modify, adjust, reline, or trim any prosthetic supplied under this Agreement.
9.2 Voiding of Warranties: If care home staff, family members, or third-party laboratory technicians attempt to alter the prosthetic using home kits, abrasive tools, or adhesives, all structural guarantees (including the 6-month free replacement warranty) are instantly rendered null and void. The Company accepts no liability for tissue injury or device destruction resulting from unauthorized modifications.
10. Safe Working Environment & Clinical Access
10.1 Duty to Provide Safe Access: The Client (the care home facility) must ensure that the Company's clinical team is provided with a safe, sanitary, well-lit, and legally compliant space to conduct the digital scanning and physical fitting procedures.
10.2 Patient Readiness and Cooperation: The Client is responsible for ensuring that the resident is medically stable, available, and cooperative at the scheduled appointment time.
11. Post-Fitting Adjustments & Dedicated Call-Out Fee
11.1 Aftercare Policy: The Company remains entirely available to provide subsequent adjustments, easing, or custom fit realignments to ensure resident comfort after a prosthetic device has been delivered.
11.2 Call-Out Fee Structure: Any dedicated mobile clinical visit requested by the Client strictly for the purpose of prosthetic adjustment, troubleshooting, or post-fitting modification—which takes place outside of the primary scanning or standard delivery appointments—shall incur a fixed £150 Mobile Call-Out Fee per visit to cover clinical time, sanitization protocols, and travel expenses.
12. Right of Refusal
12.1 The Company’s attending clinical staff retain the absolute right to refuse treatment or scanning to any resident if, in their sole professional judgment, proceeding would pose a risk to the physical safety, dignity, or medical well-being of the resident, or a risk to the safety of the Company's personnel.
13. Service Continuity & Delivery (The 10-Day Turnaround)
13.1 The Company will make every reasonable operational effort to deliver completed prosthetics within ten (10) business days from the initial successful scan.
13.2 The 10-day timeline is a target service standard and does not constitute a strict contractual deadline. The Company is not liable for minor delays resulting from lab design adjustments, clinical verification safety holds, or logistics issues beyond our control.
14. Governing Law
14.1 This Agreement is governed by and construed in accordance with the laws of Scotland. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the Scottish courts.
Acknowledgment: By executing a service request, booking an appointment, or signing up for an Express Dentures Protection Package, the Client acknowledges they have read, understood, and contractually accepted all clauses outlined above.
